










The rules are similar to those for a shareholder. In addition, a clean criminal record has to be proven. For foreigners the criminal record extract is also required from the country of their last or permanent residence and it must not be older than 3 months at the date of the registration.
A shareholder (founder, owner) can be a natural person of legal age with legal capacity. It can also be a legal entity, including a foreign one, and a foreign national without a residence permit in the Czech Republic. An extract from the foreign commercial register has to be provided, certified or apostilled.
Individual unqualified trades are not entered in the Commercial Register, only the main name is. The individual fields are recorded in the Trade Register. Other trades, such as craft or licensed ones, are entered in the Commercial Register in full.
The Trade Licensing Act does not set out an exact procedure, so the authority accepts both listing all fields and choosing specific ones. By naming the chosen field you may do business within the whole trade, but you should report it to the authority afterwards.
With two or more shareholders it is possible to pay only 30 % of the total amount and settle the rest within 5 years of the formation. Keep in mind, though, that a shareholder is liable for the company debts with their own property up to the amount of the unpaid contribution. With a single shareholder the share capital has to be paid immediately.
Since 2014 the minimum share capital of a limited liability company has been CZK 1. If the company has more shareholders, each of them has to contribute at least CZK 1.
